1. Introduction
These Terms of Service ("Terms") govern your use of the website afri-conseil.com (the "Site") and your purchase of legal templates, contract review services, and legal consultation from Afri-Conseil & Associates (the "Company"). By accessing the Site or purchasing our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
2. Services
Afri-Conseil & Associates provides the following services:
- Customised legal template agreements tailored to your specifications
- Contract review and markup services with professional commentary
- Legal consultation and advisory for extractive industry transactions
3. Template Orders
Customisation and Delivery: When you order a legal template, we customize it based on the specifications you provide. Delivery will occur within 24 hours of payment confirmation, unless otherwise agreed in writing.
Starting Point, Not Final Legal Advice: Templates are provided as professionally drafted starting points for your transaction. They should be reviewed by a qualified legal counsel in your jurisdiction before use. The Company does not provide legal advice specific to your situation.
4. Pricing and Payment
Currency: All prices are quoted in USD. For customers using Paystack or other local payment gateways, conversion to local currency will apply.
Payment Methods: We accept payment via Paystack, PayPal, or invoice (with 7-day payment terms for approved accounts).
Taxes: All prices are exclusive of applicable taxes, VAT, or other government levies. These will be added at checkout where applicable.
5. Refund Policy
Non-Delivery Refund: If we are unable to deliver the requested template, a full refund will be issued.
Revision Requests: Revision requests must be made within 7 days of template delivery at no additional charge. Revisions requested after 7 days may incur additional fees.
No Refund After Delivery: Once a template has been delivered and accepted, no refund is available unless the template is materially defective or we failed to meet agreed specifications.
6. Intellectual Property
Company Ownership: All templates remain the intellectual property of Afri-Conseil & Associates until full payment is received.
Client License: Upon receipt of payment, the client receives a non-exclusive, limited license to use the template for its intended purpose within their organization.
Restrictions: You may not resell, redistribute, or sublicense the template to third parties. You may not modify the template to create derivative works for commercial sale.
7. Limitation of Liability
Templates Are Not Legal Advice: Legal templates are drafted documents, not personalized legal advice. Afri-Conseil & Associates strongly recommends that all templates be reviewed by qualified legal counsel licensed in your jurisdiction before execution.
Liability Cap: Our total liability for any claim is limited to the amount you paid for the specific template or service in question.
No Liability For Indirect Damages: We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.
8. Disclaimer
Afri-Conseil & Associates is a legal consultancy, not a law firm licensed to practice law in your jurisdiction. While our templates are drafted to international standards and adapted for specific African jurisdictions (DRC, Congo Brazzaville, South Africa, Zambia, Tanzania, Namibia, Guinea), local legal compliance is your responsibility. Laws and regulations change frequently, and you are responsible for ensuring compliance with current local requirements.
9. Confidentiality
All information you provide to us—including your company details, transaction information, and order specifications—is treated as confidential. We do not share client information with third parties except as necessary to process your order (e.g., payment processors, email service providers). We do not sell or rent client information to any party.
10. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Arbitration: Any disputes arising from these Terms or your use of the Site shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA). Arbitration proceedings shall be conducted in English and held in London.
11. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or purchase of services after such changes constitutes acceptance of the updated Terms.
